1. Acceptance of Terms

By accessing and using the Apex Helm website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use our services. These terms apply to all visitors, users, and others who access or use our management consulting services.

Apex Helm provides management consulting services including:

3. Confidentiality

We understand that our clients share sensitive business information with us. We commit to maintaining strict confidentiality of all client information and will not disclose any confidential information to third parties without explicit written consent, except as required by law. All engagement materials, strategies, and recommendations developed during our work together remain confidential.

4. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Apex Helm and is protected by copyright and other intellectual property laws. Methodologies and frameworks developed specifically for client engagements become joint intellectual property as specified in individual engagement agreements.

5. Client Responsibilities

Clients engaging our services agree to:

  • Provide accurate and complete information necessary for our engagement
  • Make timely decisions and provide feedback as required
  • Ensure appropriate stakeholder availability for meetings and workshops
  • Honor payment terms as specified in engagement agreements

6. Limitation of Liability

While we strive to provide the highest quality consulting services, Apex Helm shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our recommendations are advisory in nature, and ultimate business decisions remain the responsibility of the client.

7. Payment Terms

Payment terms, fees, and schedules are specified in individual engagement agreements. Unless otherwise stated, invoices are due within 30 days of receipt. We reserve the right to suspend services for accounts that are significantly past due.

8. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, the client shall pay for all services rendered up to the termination date. Confidentiality obligations survive termination of any engagement.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising under these terms shall be resolved through binding arbitration.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any changes by posting the new Terms of Service on this page and updating the "Last updated" date. Continued use of our services after such modifications constitutes acceptance of the updated terms.
